Terms & Conditions

1Scope of Supply

The supply includes only the items specifically mentioned in the quotation, Proforma Invoice (PI), Purchase Order (PO), or Bill of Materials (BOM). Any additional material required at site shall be supplied at extra cost.

2Order Confirmation

The order shall be considered confirmed only after receipt of the Purchase Order and the agreed advance payment.

3Price

• Prices are exclusive of GST unless otherwise stated.
• Prices are valid for the period mentioned in the quotation.
• Any increase in statutory taxes, duties, or government levies before dispatch shall be borne by the purchaser.

4Payment Terms

• Advance: 100% advance or as mutually agreed.
• Credit, if approved, shall be subject to the agreed payment schedule.
• Delay in payment may result in postponement of dispatch.

5Delivery

• Delivery period shall commence from the date of order confirmation and receipt of advance payment.
• Delivery timelines are subject to material availability, transportation, force majeure, and government regulations.
• Partial deliveries may be made where required.

6Transportation

• Transportation charges shall be as mentioned in the quotation.
• Risk and responsibility for the material shall pass to the purchaser upon handing over the consignment to the transporter.
• Transit insurance shall be arranged only if specifically requested by the purchaser.

7Inspection

The purchaser shall inspect the material immediately upon receipt. Any shortages, damages, or discrepancies must be reported in writing within 48 hours of delivery.

8Material Acceptance

Failure to notify any discrepancy within the stipulated period shall be deemed as acceptance of the supplied material.

9Warranty

• Warranty shall be applicable only to products specifically covered under the manufacturer's warranty.
• Warranty covers manufacturing defects only.
• Warranty does not cover damage due to improper handling, incorrect installation, misuse, unauthorized modification, accidents, natural calamities, fire, flooding, lightning, theft, or electrical abnormalities.

10Exclusions

The following are excluded unless specifically mentioned:

• Installation
• Commissioning
• Civil work
• Electrical wiring beyond the supplied kit
• Earthing and lightning protection installation
• Government approvals and net-metering formalities
• Crane, lifting equipment, or scaffolding
• Any consumables not listed in the BOM

11Short Supply or Additional Requirement

Minor variations in quantity may occur depending on site conditions. Any additional requirement shall be billed separately.

12Return Policy

• Material once supplied shall not be accepted back without prior written approval.
• Returned material must be unused, undamaged, and in its original packing.
• Approved returns may attract restocking and transportation charges.

13Cancellation

Orders once confirmed cannot be cancelled without written consent. Any cancellation may attract recovery of procurement, manufacturing, and administrative costs.

14Force Majeure

The supplier shall not be liable for delays or failure in performance due to events beyond reasonable control, including natural disasters, strikes, war, pandemics, transportation disruptions, government restrictions, or shortages of raw materials.

15Limitation of Liability

The supplier's liability shall be limited to the value of the supplied material only. Under no circumstances shall the supplier be liable for indirect, incidental, or consequential losses.

16Ownership

Ownership of the supplied material shall remain with the supplier until full payment has been received.

17Technical Changes

The supplier reserves the right to make reasonable technical improvements or substitute equivalent components of equal or higher specifications without affecting system performance.

18Governing Law

All disputes shall be subject to the jurisdiction of the competent courts at Lucknow, Uttar Pradesh, India.

19Acceptance

Placement of the Purchase Order and/or acceptance of the supplied material shall constitute acceptance of these Terms & Conditions.
